Cater Karma, LLC, a Georgia limited liability company ("CaterKarma"), provides a web-based software platform for event proposal management, floor plan design, and client communications. Business acknowledges that CaterKarma is strictly a software service provider — not an event organizer, caterer, venue owner, food service provider, employer, or agent of Business or Business's own customers. All proposals, quotes, and floor plans generated using CaterKarma constitute agreements directly between Business and Business's own customer; CaterKarma is not a party to that agreement.
CaterKarma assumes no liability for property damage, personal injury, foodborne illness, liquor law violations, breach of contract, or any other outcome arising from an actual event. Responsibility for the safe and lawful execution of any event rests entirely with Business.
Business represents that it carries insurance appropriate to its business operations — including general liability, liquor liability if serving alcohol, and workers' compensation as applicable — and agrees to maintain such coverage while using CaterKarma. CaterKarma does not verify, audit, or guarantee the existence or adequacy of any insurance coverage, business license, or permit held by Business.
Business agrees to defend, indemnify, and hold harmless CaterKarma, its officers, employees, and affiliates from any third-party claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from Business's provision of event, food, beverage, or venue services, or from Business's breach of these Terms.
CaterKarma is not liable for delays or failures in the platform caused by events outside its reasonable control, including acts of God, severe weather, governmental action, epidemic, civil unrest, or utility outages.
Business acknowledges that proposal approvals captured through CaterKarma from Business's customers (typed name, IP address, and timestamp) are executed under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and constitute legally binding signatures between Business and its customer.
CaterKarma's total aggregate liability to Business for any platform error, outage, or failure is strictly limited to the fees Business has actually paid to CaterKarma.
Payments from Business's customers are processed by Stripe, Inc. ("Stripe") through Stripe Connect. To accept payments, Business must create and maintain a Stripe connected account and agrees to Stripe's terms, including the Stripe Connected Account Agreement. Stripe, not CaterKarma, performs identity verification, holds and transmits funds, and pays out to Business's bank account. CaterKarma is not a bank, money transmitter, or payment processor, does not hold or have custody of Business's or Business's customers' funds, and is not responsible for Stripe's processing, payout timing, holds, or account decisions.
CaterKarma does not collect or store bank account numbers, card numbers, or tax identification numbers. Those are entered directly with Stripe and are handled under Stripe's security and PCI DSS compliance. CaterKarma retains only Stripe reference identifiers and payment amounts and statuses needed to display and reconcile payments.
Business is solely responsible for the accuracy of the information it provides to Stripe; for refunds, disputes, and chargebacks on payments Business accepts (including any resulting fees or reversals, which may be deducted from Business's Stripe balance); for the terms under which Business collects deposits and balances from its customers; and for collecting, reporting, and remitting any applicable taxes. CaterKarma may suspend or disable payment features if Business's Stripe account is restricted, closed, or reported for suspected fraud or prohibited activity.
Fees. Stripe's processing fees are charged by Stripe, under Stripe's terms, in addition to any CaterKarma platform fee. The CaterKarma platform fee is a percentage of each payment processed through the platform and is deducted automatically from that payment. CaterKarma may change the platform fee on reasonable notice; the change applies to payments made after it takes effect. If a payment is refunded through CaterKarma, the platform fee on the refunded amount is refunded as well. Stripe's own fees, including any dispute or chargeback fees, are governed by Stripe's terms and may not be refunded.
If CaterKarma offers text-message (SMS) features, Business is responsible for sending text messages only to people who have given the consent required by applicable law (including the Telephone Consumer Protection Act and carrier rules), for honoring opt-out requests such as STOP, and for the content of the messages it sends. Text messaging is not currently active; this section will apply when it is.
Business may stop using CaterKarma at any time. CaterKarma may suspend or terminate access for a breach of these Terms, suspected fraud, or misuse of the platform. Sections that by their nature should survive termination (including indemnification, limitation of liability, and payment responsibilities) will survive.
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.
